Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement (the "Terms") form a binding agreement between you and TopTech Inc, a Maryland corporation ("Next Catch", "we", "us", or "our"), governing your use of the Next Catch mobile application and any related online services (collectively, the "Service").
By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not install or use the Service.
These Terms include important provisions that affect your legal rights, including a governing-law clause (§18), an exclusive-venue clause (§19), and a 30-day informal-dispute requirement before you may file any claim (§19.1).
1. The Service
Next Catch is a deal-monitoring application that periodically checks selected third-party retailer websites for new or changed inventory and delivers push notifications to your device when matches occur. The Service includes both a free tier and a paid "Pro" subscription tier, described in §5.
We are not the seller of any product surfaced by the Service. All transactions for products are completed on the third-party retailer's website, not within Next Catch. See §9.
The list of monitored retailers may change from time to time. We may add, remove, or pause coverage of any retailer at any time without notice.
2. Eligibility
You must be at least 13 years old (16 years old if you reside in the European Economic Area or the United Kingdom) and capable of forming a legally binding contract to use the Service. By using the Service, you represent that you meet these requirements.
You also represent that:
- You are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country; and
- You are not listed on any U.S. Government list of prohibited or restricted parties.
3. Accounts and Sign-In
The Service identifies your device using a randomly generated, installation-scoped identifier so that you can use the Service without creating an account.
You may optionally sign in with Sign in with Apple or Sign in with Google to synchronize your subscriptions and Pro entitlement across multiple devices. We do not store passwords. When you sign in, we receive the user identifier provided by Apple or Google and, only if you grant permission, your email address. You are responsible for maintaining the security of your device, your Apple ID or Google account, and any device on which you have installed the Service.
You may delete your account at any time from Settings → Account → Delete Account in the app, as described in §17.
4. Subscriptions, Billing, and Auto-Renewal
The Service offers paid auto-renewing subscriptions to the Pro tier. Pricing, billing periods, and any free trials are displayed on the in-app purchase screen at the time you initiate a purchase.
Auto-renewal. Your Pro subscription automatically renews at the end of each billing period at the then-current price for the same period unless you cancel at least 24 hours before the end of the current period.
Cancellation. You may cancel your subscription at any time by managing subscriptions in your Apple ID or Google Play account settings. We do not process cancellations directly. Cancellation takes effect at the end of the current paid period; you continue to receive Pro features until that period ends.
Payment. All payments are processed by Apple (App Store) or Google (Google Play) and are subject to their terms. We do not receive your full payment-method details. We use RevenueCat to validate purchase receipts and manage entitlement state.
Refunds. Refund requests are handled by Apple or Google according to their respective policies. We are not able to issue refunds directly.
Free trials. If a free trial is offered, the trial converts automatically into a paid subscription at the end of the trial period unless you cancel before the trial ends.
Price changes. If we change the price of an existing subscription, we will notify you in advance and obtain any consent required by Apple or Google before any renewal at the new price.
5. Free and Pro Tiers
The free tier of Next Catch provides limited functionality, including a capped number of simultaneous retailer subscriptions and delayed delivery of deal alerts. The Pro tier removes those limits, accelerates alert delivery, and unlocks per-site filters and any other features designated as Pro in the app.
We may change the features included in either tier from time to time. If a change materially reduces a feature included in your active paid subscription, we will notify you and offer a prorated refund or comparable remedy where required by law.
6. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law or regulation;
- Reverse engineer, decompile, or disassemble the Service except to the extent that applicable law expressly permits despite this restriction;
- Distribute, sublicense, lease, sell, or otherwise transfer the Service or your access credentials;
- Use the Service to violate the terms of any third-party retailer, including by attempting to circumvent purchase limits, bot-checking systems, or anti-fraud measures on those retailers' sites;
- Interfere with or disrupt the Service or its servers, including by flooding, automated scraping, or denial-of-service attacks;
- Use the Service to send unsolicited communications or to harass any person;
- Remove or alter any proprietary notice or label on the Service.
We may suspend or terminate your access to the Service if we reasonably believe you have violated this section.
7. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the Service on a device that you own or control, solely for your personal, non-commercial use.
For copies obtained through the Apple App Store, the license is also limited as required by §10.2 below. For copies obtained through Google Play, the license is governed concurrently by the Google Play Terms of Service.
You receive no rights other than those expressly granted in these Terms. We retain all right, title, and interest in and to the Service, including all intellectual-property rights.
8. Intellectual Property
Next Catch, the Next Catch logo, the Service, and all software, content, design, and arrangements that comprise them are the property of TopTech Inc or its licensors and are protected by U.S. and international intellectual-property laws.
All third-party trademarks, service marks, product names, and company names referenced in the Service — including those of any retailer monitored by the Service — are the property of their respective owners and are used solely to identify those parties' products. Their use in the Service does not imply any affiliation with or endorsement by them.
9. Third-Party Retailers and Deal Data
Next Catch surfaces information about products listed on third-party retailer websites. By using the Service, you acknowledge and agree that:
- Next Catch is not affiliated with, endorsed by, or sponsored by any monitored retailer or its parent company.
- Deal information (including titles, prices, images, and stock status) is obtained from publicly available retailer pages and is provided to you on an "as-is" basis. Prices, stock, availability, and product details are determined solely by the retailer and may change at any time, including in the moments between when an alert is generated and when you tap through to the retailer's site.
- Next Catch is not a party to any transaction you complete on a retailer's website. All purchases, payments, returns, refunds, shipping, taxes, warranties, and customer-support matters are solely between you and the retailer.
- You are responsible for reading and complying with the retailer's terms, conditions, and applicable purchase limits at checkout.
- We make no representations regarding the accuracy, completeness, timeliness, legality, or availability of any retailer's listings.
10. Apple-Specific Terms
The following terms apply to your use of Next Catch when downloaded from the Apple App Store. In the event of a conflict between any other provision of these Terms and this §10, this §10 controls — but only with respect to the App Store version of the Service.
10.1 Acknowledgment. These Terms are concluded between you and TopTech Inc only, and not with Apple Inc. ("Apple"). Apple is not responsible for the Service or its content. To the extent these Terms provide for usage rules less restrictive than, or in conflict with, the Apple Media Services Terms and Conditions, the more restrictive or conflicting Apple term will apply.
10.2 Scope of License. The license granted to you for the App Store version of the Service is limited to a non-transferable license to use the Service on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Service may be accessed and used by other accounts associated with you via Family Sharing.
10.3 Maintenance and Support. TopTech Inc is solely responsible for providing any maintenance and support services with respect to the Service. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Service.
10.4 Warranty. TopTech Inc is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Service to you (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Service.
10.5 Product Claims. TopTech Inc, not Apple, is responsible for addressing any claims by you or any third party relating to the Service or your possession or use of it, including: (i) product-liability claims; (ii) any claim that the Service fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer-protection, privacy, or similar legislation.
10.6 Intellectual Property Rights. In the event of a third-party claim that the Service or your possession and use of the Service infringes that third party's intellectual-property rights, TopTech Inc, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
10.7 Legal Compliance. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

10.9 Third-Party Terms of Agreement. You must comply with applicable third-party terms of agreement when using the Service (for example, your wireless data-service agreement).
10.10 Third-Party Beneficiary. You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
11. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. Without limiting the foregoing, we do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free;
- Any deal alert will be delivered, will be delivered promptly, or will be accurate at the moment you receive it;
- Any product surfaced by the Service will be in stock, will remain at the displayed price, or will be eligible for purchase by you;
- Defects in the Service will be corrected.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the above exclusions apply to the maximum extent permitted by law.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TopTech Inc, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100.00).
The foregoing limitations do not apply to liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or fraud, or to the consumer-rights protections preserved in §20.
13. Indemnification
You agree to defend, indemnify, and hold harmless TopTech Inc and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service in violation of these Terms; (b) your violation of any third-party right, including any retailer's terms of service; or (c) your violation of any applicable law.
14. Termination
By you. You may stop using the Service at any time. You may delete your account at any time as described in §17. Cancellation of an active Pro subscription is handled through the Apple App Store or Google Play as described in §4.
By us. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if continuation of the Service to you would expose us to legal liability.
Survival. Sections 8 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 18 (Governing Law), 19 (Dispute Resolution), 20 (Mandatory Consumer Rights), and 21 (Miscellaneous) survive any termination of these Terms.
15. Changes to the Service
We may modify, suspend, or discontinue the Service or any feature of the Service at any time. If we permanently discontinue a Pro feature on which you actively rely, we will notify you and offer a prorated refund where required by law.
16. Changes to These Terms
We may update these Terms from time to time. The current version is always available at https://nextcatch.app/legal/terms. The Effective date at the top of this document indicates when these Terms were last revised. Material changes will be notified to you in advance through an in-app notice, an email to the address (if any) associated with your account, or both.
Your continued use of the Service after the effective date of any update constitutes your acceptance of the updated Terms. If you do not accept the updated Terms, your sole remedy is to stop using the Service and delete your account.
17. Account Deletion
You may delete your account from within the app at Settings → Account → Delete Account. Account deletion removes your sign-in link, device identifiers, push tokens, retailer subscriptions, per-site filters, and server-side user record. Some data may be retained:
- Billing and purchase records, to the extent required by Apple, Google, applicable tax law, or financial-records-retention requirements; and
- Encrypted backups, which are purged within 90 days of deletion.
If the in-app deletion path is unavailable to you, you may also request deletion by emailing privacy@nextcatch.app. We will respond to deletion requests within 30 days.
18. Governing Law
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-laws rules, and by applicable U.S. federal law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19. Dispute Resolution
19.1 Informal dispute resolution required. Before filing any claim against TopTech Inc arising out of or relating to these Terms or the Service, you must first send a written notice describing the claim to support@nextcatch.app (the "Notice") and allow at least thirty (30) days from the date the Notice is received for us to attempt to resolve the dispute informally. The Notice must include your name, the email address (if any) associated with your account, a description of the dispute, and the relief you are requesting. Compliance with this §19.1 is a condition precedent to filing any claim, and any applicable limitations period is tolled during the 30-day informal-resolution window.
19.2 Exclusive venue. If a dispute is not resolved through the informal process in §19.1, you and TopTech Inc agree that any resulting action must be filed exclusively in the state or federal courts located in Montgomery County, Maryland, and you and TopTech Inc consent to personal jurisdiction and venue in those courts.
19.3 Small-claims carve-out. Notwithstanding §19.2, either party may bring an individual action in any small-claims court of competent jurisdiction for any dispute that falls within that court's jurisdictional limits.
20. Mandatory Consumer Rights
Nothing in §11 (Disclaimers), §12 (Limitation of Liability), §18 (Governing Law), or §19 (Dispute Resolution) deprives you of any rights you may have under mandatory consumer-protection laws of your country or state of residence that cannot lawfully be waived by contract. Without limiting the generality of the foregoing:
- If you are a consumer resident in the European Economic Area, the United Kingdom, or Switzerland, you retain the protections of Article 6 of Regulation (EC) No 593/2008 (Rome I), the UK equivalent, and the mandatory consumer-protection laws of your country of residence;
- If you are a California resident, you retain your rights under the California Consumer Privacy Act / California Privacy Rights Act and the California Consumers Legal Remedies Act;
- If you are a Maryland resident, you retain your rights under the Maryland Consumer Protection Act;
- The Apple Media Services Terms and Conditions and the Google Play Terms of Service govern your respective platform purchases and are not modified by these Terms.
21. Miscellaneous
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or your rights hereunder, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
Entire agreement. These Terms, together with the Privacy Policy available at https://nextcatch.app/legal/privacy, constitute the entire agreement between you and TopTech Inc concerning the Service and supersede all prior or contemporaneous communications.
Headings. Section headings are for convenience only and have no substantive effect.
Notices. We may provide notices to you by email or in-app message; notices to us must be sent to support@nextcatch.app or by U.S. mail to the address in §10.8.
